AMENDMENT OF THE TERMS OF ASPOCOMP GROUP PLC’S CONVERTIBLE DEBENTURE LOAN

Aspocomp Group Plc’s Extraordinary General Meeting has today decided on a reverse share split in which ten existing shares are merged into one new share. Subsequent to such reverse share split, the Board of Directors has today decided to amend the terms and conditions of the Debenture Loan I/2006 and of the existing option and other special rights relating to such loan.
The terms and conditions of the Debenture Loan and the special rights decided upon on 18 April 2007 are amended in accordance with their terms so that each right of a thousand euros will entitle its holder to subscribe 47 shares of the company instead of 467 shares. There are 200 special rights outstanding. The maximum amount of shares to be issued pursuant to mentioned special rights is thus 9,400.
In addition, the terms of the option rights agreed upon in the Amendment Agreement relating to the Debenture Loan described in the company announcement dated 31 March 2008 and decided upon on 2 April 2008 are amended so that subsequent to the reverse share split ten option rights, instead of one, entitle its holder in certain situations to subscribe one share at a subscription price of 0.00001 euros. Should the total amount of shares of an option holder be a fraction, the amount is rounded upwards to the closest full number of shares. There are a maximum of 390,000 option rights outstanding. The maximum amount of shares to be issued pursuant to mentioned option rights is thus 39,000.
